Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and BreakoutScan (“BreakoutScan”, “we”, “us”, or “our”) governing your access to and use of the breakoutscan.com and app.breakoutscan.com websites, applications, data feeds, emails, and related services (together, the “Service”). By creating an account, starting a trial, purchasing a subscription, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. What BreakoutScan Is
BreakoutScan is a research and education tool. It aggregates publicly available market data, regulatory filings, and news, and applies automated analysis — including chart-pattern detection, catalyst identification, screening, and order-flow classification — to present that information in an organized form. The Service exists to help you do your own research faster. It does not make decisions for you, and nothing in it is a substitute for your own judgment or for advice from a licensed professional.
2. Eligibility and Your Account
- You must be at least 18 years old and able to form a binding contract.
- You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account.
- Accounts are personal. One person per account; sharing credentials, reselling access, or operating an account on behalf of a group is not permitted. The Service may limit an account to one active session at a time.
3. No Investment Advice — Read This Section Carefully
NOTHING IN THE SERVICE CONSTITUTES FINANCIAL, INVESTMENT, TRADING, LEGAL, ACCOUNTING, OR TAX ADVICE, AND NOTHING IN THE SERVICE IS A RECOMMENDATION, SOLICITATION, OR OFFER TO BUY OR SELL ANY SECURITY OR OTHER FINANCIAL INSTRUMENT.
- BreakoutScan is not a broker-dealer, investment adviser, financial planner, or fiduciary, and is not registered as any of these with any securities regulator. No content in the Service — screens, scores, patterns, catalysts, alerts, emails, or anything else — creates an adviser or fiduciary relationship between you and us.
- The Service uses trading-terminology labels such as “BUY”, “SELL”, “bullish”, “bearish”, “breakout”, “accumulation”, “unusual”, “impact”, “squeeze”, and similar terms. These labels are algorithmic classifications of historical market data. They describe how our software categorized a data point — for example, which side of the market a trade most likely occurred on. They are not recommendations, predictions, or advice to take (or avoid) any action, regardless of how they are worded, colored, scored, or displayed.
- Trading securities involves substantial risk, including the risk of losing your entire investment. Past patterns, statistics, and signals do not predict future results. Small- and micro-cap securities, which the Service frequently surfaces, carry elevated risks including illiquidity, volatility, and dilution.
- You alone are responsible for your investment decisions. Before acting on anything you see in the Service, do your own diligence and consult a licensed financial adviser, broker, or other qualified professional.
4. Data Accuracy — No Guarantees
The Service depends on data from third-party sources (market-data vendors, exchanges, regulatory filings, newswires) and on automated inference. We cannot and do not guarantee that any data point in the Service is accurate, complete, or timely. In particular:
- Trade-side classifications are estimates. Public market data does not identify whether a transaction was initiated by a buyer or a seller. Our “BUY”/“SELL” and related order-flow labels are produced by heuristics (such as tick-rule and quote-rule inference) that are known to be wrong some of the time, and the grouping of individual fills into “orders” is itself an estimate.
- Pattern detections, confidence scores, catalyst summaries, impact ratings, dilution and cash-runway analyses, and AI-generated text are automated outputs that may contain errors, omissions, or mischaracterizations of the underlying documents and data.
- Prices, volumes, and other figures may be delayed, estimated, adjusted, or missing. Third-party sources may themselves publish errors, which will flow through to the Service.
- Data and features may be modified, interrupted, or discontinued at any time, including when our upstream providers change or fail.
You agree not to rely on any individual data point in the Service as accurate, and to independently verify any information before acting on it.
5. Subscriptions, Trials, and Billing
- Paid access is billed as a recurring subscription (monthly or annual) at the price shown at checkout, plus any applicable taxes. Payment processing is handled by Stripe; we never see or store your full card number.
- Free trials are limited to one per person and one per payment card. When a trial ends, the payment method on file is charged automatically at the plan price shown at checkout, unless you cancel before the trial ends. Where a trial is unavailable (for example, a payment card that has already been used for a trial), the Service will say so before you are charged.
- Promotional pricing that is described as locked (for example, a founding-member rate) remains in effect only while the subscription stays continuously active; cancelling and re-subscribing may be at then-current prices.
- Cancellation: you may cancel at any time from your account page. Cancellation stops future renewals; your access continues through the end of the period already paid.
- Refunds: except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods, unused time, or dissatisfaction with data outputs. We may, at our sole discretion, issue refunds in individual cases.
- We may change subscription prices with at least 30 days’ notice; changes apply from your next renewal.
6. Acceptable Use
You agree not to:
- scrape, crawl, harvest, or bulk-download data from the Service, or access it by any automated means other than interfaces we expressly provide;
- redistribute, resell, republish, or make the Service’s data or outputs available to any third party, whether free or paid, including in newsletters, chat groups, or other products;
- reverse engineer, decompile, or probe the Service’s systems or non-public interfaces;
- circumvent access controls, rate limits, session limits, or trial limitations;
- use the Service to violate any law or regulation, including securities laws;
- interfere with or degrade the Service or other users’ use of it.
We may suspend or terminate accounts that violate this section, without notice and without refund.
7. Intellectual Property
The Service — including its software, design, branding, databases, and the organization and presentation of its data and analyses — is owned by BreakoutScan or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your own personal, non-commercial research while your account is in good standing. No other rights are granted.
8. Third-Party Content and Services
The Service displays content from, and links to, third parties (market-data providers, news sources, regulatory databases, payment processors). We do not control and are not responsible for third-party content, services, or sites. Your use of them may be subject to their own terms.
9. Feedback
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.
10. Changes to the Service
The Service evolves continuously. We may add, change, or remove features, data sources, methodologies, and outputs at any time. We will not be liable for any modification, suspension, or discontinuation of the Service or any part of it.
11. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access at any time for breach of these Terms, suspected fraud or abuse, or where required by law. Sections 3, 4, 7, 9, and 12–17 survive termination.
12. Disclaimer of Warranties
THE SERVICE AND ALL DATA, ANALYSES, SIGNALS, SCORES, LABELS, AND OTHER OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL BREAKOUTSCAN, ITS OWNERS, OPERATORS, EMPLOYEES, CONTRACTORS, OR DATA PROVIDERS BE LIABLE FOR ANY TRADING OR INVESTMENT LOSSES, LOST PROFITS, LOST OPPORTUNITIES, LOSS OF DATA, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS — INCLUDING ANY DECISION YOU MAKE OR ACTION YOU TAKE IN RELIANCE ON ANY DATA, LABEL, SIGNAL, OR OTHER OUTPUT OF THE SERVICE (ACCURATE OR NOT) — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (ii) ONE HUNDRED US DOLLARS (US$100).
Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions, our liability is limited to the maximum extent permitted by law.
14. Indemnification
You agree to indemnify and hold harmless BreakoutScan and its owners, operators, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced in the Service or by email, and the “Effective date” above will be updated. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which the operator of BreakoutScan is established, without regard to conflict-of-law principles. You agree that any dispute arising out of these Terms or the Service will be brought exclusively in the courts of that jurisdiction, and you consent to their jurisdiction. To the extent permitted by law, each party waives any right to a jury trial and agrees that claims may be brought only in an individual capacity and not as a class action.
17. Miscellaneous
These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
